  1. the drawing up of a MEMORANDUM OF ASSOCIATION;

  2. the preparation of ARTICLES OF ASSOCIATION;

  3. application to the COMPANY REGISTRAR for a CERTIFICATE OF INCORPORATION;

  4. the issue of SHARE CAPITAL;

  5. the commencement of trading.

A company the owners (shareholders) of which are liable, should the company be unable to meet its debts, only for the share they hold in it. Limited liability was first allowed for certain types of company in 1720, after the collapse of the South Sea Company, and has been available to all companies since 1862.
